The attorney-general allegos that the Oil Trust has exchanged its own certificates for Louisiana stock, giving its certificates for Louisiana stock in greater amount than that of tbe stock it received in return; that the persons who transferred Louisiana stock lost all their interest in it, ffhich became the absolute property of tbe Oil Trust. The act charged cannot be done by a trust but only by a corporation.

If persons are acting as a corporation without being corpo-rated, they may be enjoined. The placing of their stock upon the market is one of the most dangerous of their acts. The injunction can go, however, only against those who are their officers and agents. There is a cause of action against Jules Aldige as one of the organizers of the Oil Trust, and there is none against Grlenny Viollett (who are simply brokers and not agents directly of the Oil Trust.) Mr. Aldige cited as vice-president of the Cotton Oil Trust bad filed exceptions of no cause of action and improper citation. The court gave first a review of tbe case and of tbe issues presented by counsel on both Bides. The point to be decided was whether there was a case. Under tbe intrusion in office act the attorney -general has tbe right to bring this suit to enjoin tbe Oil Trust from acting as a corporation in this State.

Tbe question then is, whether the Oil Trust is a corporation, an authorized association or a partnership. The action is brought by tbe attorney-general to have tbe Oil Trust declared an illegal association, so far as it carries on any operations or conducts any business in this State; to enjoin certain persons named in tbe petition from acting within the State as officers of the said association and from transacting any of its business, to provoke the appointment of a receiver, and the final winding np end liquidation of its affairs, and to enjoin certain persons from buying and selling and dealing in, as brokers, the shares of 6tock or ceitificates of shares in tbe equity of tbe trust, issued by tbe said association. The States argues that the Trust is not incorporated in this State or any other State or country. Tbe counsel jt Aldige and the Trust said that the Trust is not incorporated, that it does not claim to be, and that on the contrary it claims to act simply as a number of citizens would act together as a voluntary association, such as commercial partners or trustees-After a learned dissertation on the law defining corporations, the court "said that the impression may be created that the Oil Trust is a corporation with a capital stock of It is alleged herein that it has issued stock to that amount; under that impression it may contract debts to tbe amount of tens of millions. If, in reality, the Trust is composed of persons unable to respond to demands of such magnitude, great loss might happen to its debtors.
